
Terms of Service
The rules, guidelines, and agreements that govern your use of Softiox enterprise services.

1. Acceptance of Terms
By accessing or using the software, websites, and related services provided by Softiox ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services. These terms constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you"), and Softiox.
2. Enterprise Software Licenses
Subject to your compliance with these Terms, Softiox grants you a limited, non-exclusive, non-transferable, and revocable license to access and use our proprietary software solutions for your internal business operations.
You shall not:
- Copy, modify, or create derivative works of the Software;
- Reverse engineer, decompile, or disassemble the Software;
- Rent, lease, lend, sell, sublicense, assign, distribute, or otherwise transfer the Software;
- Use the Software to provide services to third parties outside the scope of your enterprise agreement.
3. Service Level Agreements (SLA)
For enterprise clients, specific Service Level Agreements regarding uptime, support response times, and system availability will be outlined in your individual Master Service Agreement (MSA). In the event of any conflict between these general Terms of Service and your specific MSA, the MSA shall take precedence.
4. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Softiox, its affiliates, directors, employees, or its licensors be liable for any direct, indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, that result from the use of, or inability to use, this service.
5. Governing Law
These Terms shall be governed and construed in accordance with the laws of India, specifically within the jurisdiction of the courts of Kolkata, West Bengal, without regard to its conflict of law provisions.
6. Payment Terms & Subscriptions
For clients utilizing our Team-as-a-Service model, billing is conducted on a monthly subscription basis. Payments are due at the beginning of each billing cycle. Failure to submit payment within 15 days of the invoice date may result in a suspension of services and a halt to development sprints until the account is brought current.
7. Confidentiality & Non-Disclosure
We recognize that in the course of providing our development services, we may be exposed to your proprietary information, source code, and trade secrets. Softiox agrees to maintain strict confidentiality regarding all client materials and will not disclose, sell, or distribute your intellectual property to any third party without your explicit written consent.
8. Termination of Services
You may terminate your Team-as-a-Service subscription at any time with a 30-day written notice. Upon termination, Softiox will facilitate the secure transfer of all code repositories, documentation, and assets back to your internal team. We reserve the right to terminate the agreement immediately in the event of a material breach of these Terms.
9. Intellectual Property Rights
Upon full payment of all outstanding invoices, all custom software, code, designs, and related assets produced by the Softiox team during the engagement become the sole and exclusive property of the client. Softiox retains no ownership rights over the final deliverables.
